Terms of use

Greetings! Let us introduce you to the ImpromptMe Terms of Use agreement. ImpromptMe is a social platform that connects people in a real life through the use of mobile devices. ImpromptMe is the property of ImpromptMe s.r.o., Czech limited liability company and therefore underlying to the law system established in the Czech Republic.

ImpromptMe s.r.o. might be further on referred to as “us” “we” or “ the company”.
ImpromptMe might be further on referred to as “app”, “platform” or “mobile platform”.

1. Acceptance

You agree to be bound by these Terms of Use (further on referred to as an “agreement”) by opting-in (consenting to ImpromptMe s.r.o Terms of Use), creating and using an ImpromptMe account in any form. We strongly encourage you to read this agreement in full, as well as our Privacy policy - both accessible either upon logging into the app or via our website impromptme.com.

If you don’t comply with this agreement, please do not create an ImpromptMe account since from your first login onwards, YOU ARE LEGALLY BOUND by this agreement. If you have done so already despite you disagreeing with this agreement, please contact HereToHelp@impromptme.com in order to deactivate your account.

We may, at any time and for variety of reasons (social, political, legal etc.), change this agreement. You should regularly check for updates of this agreement, given that the most recent version is the one that will apply. If these changes concern your rights or obligations, we will inform you either via in-app notifications or via the email you have provided upon your login. It is entirely your responsibility to be aware of these changes and in a case you don’t agree with the most recent version of this agreement, it is up to you to HereToHelp@impromptme.com in order to get your account deactivated.

2. Eligibility

You MUST be at least 18 years old (21 years old if you reside in a country where 21 is the age of majority) in order to access and use ImpromptMe services. By accessing and using the ImpromptMe app, you are stating that you have the right, authority and capacity to enter into this agreement and be fully bound by it. IT IS ENTIRELY YOUR RESPONSIBILITY TO FOLLOW LAW OF THE COUNTRY OF WHERE YOU ARE LOCATED WHILE ACCESSING THE IMPROMPTME APP. YOU UNDERSTAND THAT WE DO NOT CARRY ANY RESPONSIBILITY FOR YOUR ACTIONS OR ACTIONS OF OTHERS YOU MEET VIA IMPROMPTME APP.

3. Account - Creation, Termination and Safety

When creating an ImpromptMe account, you have two options to choose from. You can either create you account directly with us or use Facebook/LinkedIn login. If you choose to create your account directly with our app, you will be asked for your date of birth, your given name and surname, your gender, a valid email address and your telephone number. If you choose to create your account via Facebook or LinkedIn, you give us permission to retrieve certain data about yourself, including, but not limited to, your date of birth, profile picture, given name, email address, telephone number and link to your LinkedIn. You may be asked to provide us with additional details that couldn’t be retrieved from Facebook or LinkedIn. By creating this account you understand and agree that this information will be stored on our servers for your own identification and will also be used as part of your public profile within the app (excluding day and month of birth, email address and phone number).

You are solely responsible for the content you upload yourself or transfer from third parties such as Gmail, Facebook or LinkedIn, including but not limited to profile pictures, description text, age, email address, telephone number, name and occupation. In the event that this content becomes invalid, inaccurate or untruthful for any reason, you are required to promptly update it yourself via app or contact customer support in order to update your contact details (email address, telephone number). You may not post any material that is offensive, abusive, obscene, threatening, racially offensive, illegal or material that violates another person’s rights in any way. You must understand that failure to comply with this may be a reason for permanent termination of your account.

You must understand that your account may be permanently terminated or temporarily banned by us at any time for any reason. However this may occur especially if you fake your in-app identity and/or display offensive or any inappropriate behaviour towards other users. If you feel your account was banned or terminated for an unreasonable cause, don’t hesitate to contact HereToHelp@impromptme.com, and explain your situation; your termination might be reconsidered. We urge you to interact with our support team politely and to keep the good manners. If you fail to do so, your request might not even be reviewed. We are not required to disclose with you the reason for termination or ban. If your account has been terminated or banned, you are not entitled to a refund for any in-app purchases. You are also required to validate your account using the four-digit validation code we send you via SMS message upon the registration. If you fail to do so within 48 hours from registration, your account might also be deleted.

You are solely responsible for keeping your login details private. Any activity on your account is your responsibility. You are required to notify HereToHelp@impromptme.com in case of any suspected unauthorized use of your account. To maintain the highest level of security, we recommend you log off at the end of each session.

Your account is deactivated automatically after 3 weeks of inactivity. This means you won’t be shown to any other users and you won’t receive invites. You can request to delete your account at any time by contacting HereToHelp@impromptme.com. You can also request a copy of any and all data we collected from you. And of course, if you request to delete your account, we will also delete all the data we have about you.

4. Interaction with others

You are solely responsible for any interaction with other users you meet via ImpromptMe. We are not responsible for any of your actions or of those of the people you meet via our platform. You must understand that we are not capable of running criminal background checks on ImpromptMe users or to completely make sure of the validity of their identity. However if you ever come across a user that seems to be faking his/hers identity and/or displays offensive or criminal behaviour, don’t hesitate to report them within the app or contact HereToHelp@impromptme.com and we will investigate the claim ASAP.

You must understand that meeting strangers carries it’s own risk, regardless of whether you meet them via ImpromptMe or any other platform. We try to keep ImpromptMe meetings as secure as possible by connecting you with others in public places such as restaurants, bars, cafes etc. But we DO NOT have any responsibility for what happens or does not happen between you and anybody else you meet via our platform.

ImpromptMe s.r.o., it’s employees, partners and shareholders are not responsible for the conduct of any user in any event, whether direct or indirect. We are not responsible for any losses, damages or criminal events that might occur between our users. This responsibility remains strictly between users only.

You also must understand that we are not responsible for services provided to you by third parties (venues) that you choose to go to via our app. This serves strictly as a meeting point for you and another user you either invited or were invited by through the app. We are not responsible for any inaccurate or partial information displayed within the app. Majority* of information about venues, including but not limited to; photos, prices, locations or description, are provided by Foursquare and we simply display them within our app.

*Venue owners/managers willing to update the information displayed about their venue have to do so via Foursquare directly and we will update this information during our next update (Usually every two weeks) or they can contact us directly at HereToHelp@impromptme.com and we will update this information promptly.

We provide certain venues with some details about ImpromptMe users incoming into their venue. By creating ImpromptMe account and using the app, you agree that certain venues will receive following information about you; the exact meeting time in their restaurant/bar/cafe.

5. Proprietary rights

ImpromptMe s.r.o. owns all proprietary rights on the ImpromptMe app, which involves its codes, trademarks, logos, icons and intellectual property. You agree not to copy or in any way change, translate or make use of any of the content mentioned above in this paragraph. Any use of the content without an authorization will give the right to IMPROMPTME, s.r.o. to request the immediate cease of the infringing activity and to request compensatory damages that may have caused.

6. In-App purchases

You may decide to purchase a Premium account within the ImpromptMe app. All payments are processed either via the App Store or Google Play store. If you choose to make an in app purchase, you might be asked to enter account login details depending on the mobile device you are using (e.g. Apple, Android, Windows phone etc.).

7. Referral codes, credits & vouchers

ImpromptMe may, in its sole discretion, create referral and/or credits/vouchers that may be redeemed for discounts on future meetups attended via ImpromptMe platform at third party service providers (cafes, bars, restaurants). You agree that referral codes/credits/vouchers must be used for and by the intended audience and purpose, and in a lawful manner.

Credits and vouchers man not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public form or otherwise), unless expressly permitted by ImpromptMe. Referral codes may be shared freely.

Impromptme may disable referral codes, credits and vouchers at any time for any reason without liability and users agree they are not entitled to any refund, discount, special treatment or anything that has been once offered by those referral codes/credits/vouchers.

Referral codes/credits/vouchers may only be used pursuant to the specific terms that ImpromptMe established for the given event, they are not valid for cash and may expire prior to user’s use.

ImpromptMe reserves the right to withhold or deduct referrals/credits/vouchers to any and every user in the event ImpromptMe comes to believe that referral codes/credits/vouchers have been obtained or distributed by an error or in an unfair manner.

8. Updates and modifications

We reserve the right to change or discontinue the ImpromptMe platform at any time, without any previous notice. You agree and accept that in such a case, you are not entitled to any compensation. However, if you purchased premium account for a time period (year) and we end our services before this period is over, you may be entitled for a partial refund.

9. Severability

If any part of this agreement is declared unenforceable or invalid, the remainder will continue to be valid and enforceable.
